Loan Note

[채무자 성명], at [주소] (the “Borrower”), acknowledges the receipt of a loan in the amount [ten thousand dollars ($10,000)] (the “Loan”) on [빌려준 날자] (the “Loan Date”) from [채권자 성명] at [채권자의 주소] (the “Lender”).  For the Loan received, the Borrower promises to pay to the order of the Lender, on the Maturity Date, as defined below, at the Lender’s address or such other place as the Lender may give notice to the Borrower for such purpose in lawful money of the United States of America and in immediately available funds the unpaid principal amounts of the Loan made by the Lender to the Borrower.  The Borrower shall pay interest on the unpaid principal amounts hereof from the Loan Date until paid in full on the dates and at the rates provided for in Section 1 below.

1. Interest
(a) The Borrower shall pay interest on the principal at an annual rate of [이자율] until the Loan is paid in full.

(b) Any overdue payment of principal or interest shall bear interest, payable on demand, for each day from and including the day such payment was due to but excluding the day paid at an annual rate of [15 또는 다른 연체이자율]%.

(c) “Maturity Date” means [합의한 만기 지급일].

2. This Note may be prepaid in whole or in part at any time.

3. If (a) the Borrower fails to make payment when due of principal of or interest on this Note, (b) the Borrower fails to make any payment in respect of any debt or obligation (other than this Note) when due or within any applicable grace period or any event or condition occurs that permits the holder of such debt or obligation to accelerate the maturity thereof, (c) the Borrower becomes insolvent, (d) the Borrower commences a voluntary case or other proceeding seeking suspension of payment or other relief under any bankruptcy or other similar law now or hereafter or seeks the appointment of a trustee or other similar official or consents to any such relief or appointment or an involuntary case or other proceeding shall be commenced against the Borrower under any bankruptcy or other law now or hereafter in effect, then the outstanding principal amount of this Note shall automatically be due and payable, together with accrued interest, without demand, protest, presentment, notice of dishonor or other notice or demand whatsoever, all of which are hereby waived by the Borrower.

4. The provisions of this Note may not be waived, modified or amended except by an instrument in writing signed by the party to be charged with such waiver, modification or amendment.  No failure or delay on the part of the Lender in exercising any of its powers or rights hereunder, nor partial or single exercise thereof, shall constitute a waiver thereof or shall preclude any other or future exercise of any other power or right.

5. The Borrower shall pay all out-of-pocket expenses of the Lender (including fees and disbursements of counsel) in connection with the collection or other enforcement proceedings resulting from the Borrower’s breach of his obligation hereunder.  The Borrower agrees to indemnify the Lender and hold the Lender harmless from and against any and all liabilities, loss, damage, costs and expenses of any kind (including, without limitation, the actual fees and disbursements of counsel for the Lender in connection with any investigative, administrative or judicial proceedings, whether or not the Lender shall be designated a party thereto) that may be incurred by the Lender relating to or arising out of this Note.

6. This Note shall be governed by and construed in accordance with the laws of the Sate of California.  The Borrower hereby irrevocably submits to the exclusive jurisdiction of the competent courts sitting in the county of [채권자의 주소가 있는 군] for purposes of all legal proceedings arising out of or relating to this Note.  The Borrower irrevocably waives, to the fullest extent permitted by law, any objection which he may now or hereafter have to the laying of the venue of any such proceeding brought in such a court and any claim that any such proceeding brought in such a court has been brought in an inconvenient forum.
